Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 17, 2018, Richard T. Laube informed the Board of Directors (the “Board”) of The Simply Goods Food Company (the “Company”) of his resignation as a member of the Board and as a member of the Audit Committee of the Board, effective January 8, 2019. His resignation was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. As a result of Mr. Laube’s resignation, the Board appointed Nomi P. Ghez as a member of the Audit Committee of the Board, effective immediately.
