Vado Corp. (the “Company”) is unable to file the Annual Report on Form 10-K (the “Form 10-K”) for the fiscal year ended December 31, 2023 in a timely manner without unreasonable effort or expense due to a change in the Company’s financial accounting personnel. The Company expects to file the Form 10-K on or prior to the 15th calendar day following the prescribed due date of the Annual Report, as Rule 12b-25 under the Securities Exchange Act of 1934 requires.

Is it anticipated that any significant change in results of operations from the corresponding period for the last fiscal year will be reflected by the earnings statements to be included in the subject report or portion thereof?

The Company expects to report revenue of $16,033,823 for the fiscal year ended December 31, 2023 (“FY 2023”), compared to revenue of $17,619,504 for the fiscal year ended December 31, 2022 (“FY 2022”), with costs of revenue remaining relatively stable between periods. The decrease in revenue is primarily due to larger campaigns that ran during the period, resulting in a lower volume of client projects, along with increased in-housing of media buying by clients. The Company expects to report a net loss of $8,521,485 for FY 2023, compared to a net loss of $4,802,669 for FY 2022, resulting in part from a modest decline in revenue, macro-economic contraction, increased investment in product and tech, and substantially due to increased interest expense related to outstanding indebtedness, increased stock-based compensation, and increased legal expenses. Moving forward the Company is anticipating growth in 2024 due to increased sales and marketing impact, an evolved and strengthened tech stack, as well as activity in the M&A space.
