Item 8.01 Other Events

On May 14, 2018, TPG Pace Energy Holdings Corp., a Delaware corporation (the “Company”), issued a press release announcing certain financial and operating results for the quarterly period ended March 31, 2018 of the Karnes County and Giddings Field assets that the Company is under definitive agreements (the “Business Combination Agreements”) to acquire from affiliates of EnerVest, Ltd (the “business combination”). The press release attached as Exhibit 99.1 is being furnished and shall not be deemed to be filed for purposes of Section 18 of the Securities and Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise be subject to the liabilities of that section, nor shall it be deemed to be incorporated by reference in any filing under the Securities Act of 1933, as amended (the “Securities Act”), or the Exchange Act.
