Stock for Redemption Based on Number of Years Stock Held

The redemption price per share for shares sold in the Private Offering will depend on the length of time the stockholder has held such shares as follows:

Less than 1	No Redemption Allowed
More than 1 but less than 2	90.0% of the Redemption Amount (as defined below)
More than 2 but less than 3	92.5% of the Redemption Amount
More than 3 but less than 4	95.0% of the Redemption Amount
More than 4	100% of the Redemption Amount
