Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 24, 2019, Playa Hotels & Resorts N.V, a Dutch public limited liability company (the “Company”) received a notice of resignation from Mr. Richard Byles, a member of the Company’s Board of Directors. Mr. Byles is resigning from the Company effective June 30, 2019, as a result of his recent appointment as Governor of the Bank of Jamaica, which requires him to exit from all other corporate positions.
