On November 15, 2018, the Board of Directors of PCSB Financial Corporation (the “Company”) authorized the repurchase by the Company of up to 908,256 shares, or approximately 5%, of the Company’s outstanding shares of common stock.  The Company will conduct any repurchases through open market transactions (which may be by means of a trading plan adopted under SEC Rule 10b5-1) or in privately negotiated transactions, subject to market conditions and other factors.  There is no guarantee as to the exact number of shares that the Company may repurchase.  For additional information, reference is made to the Company’s press release dated November 15, 2018, which is attached hereto as an exhibit and incorporated herein by reference.

PCSB Financial Corporation Authorizes Stock Repurchase Program

 

Yorktown Heights, NY – November 15, 2018. PCSB Financial Corporation (the “Company”) (NASDAQ: PCSB) announced today that it has authorized a program to repurchase up to 908,256 shares, or approximately 5%, of its outstanding shares of common stock.  The timing and amount of any repurchases will depend on various factors, including but not limited to, market conditions, stock price, and alternative uses of capital. Repurchases may be transacted in the open-market or in negotiated private transactions and may be conducted pursuant to a trading plan adopted in accordance with Securities and Exchange Commission Rule 10b5-1.
