Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 21, 2018, James Gilbert, a member of the Board of Directors (the “Board”) of The Crypto Company (the “Company’), notified the Company of his decision to resign from the Board, effective immediately. Additionally, on September 24, 2018, Jeffrey Berman, a member of the Board, also notified the Company of his decision to resign from the Board, effective immediately. Mr. Gilbert served as the Chairman of the Board, and Mr. Berman served on the Board’s Audit Committee and Compensation Committee. Their decision to resign was not due to any disagreement with the Company.
