Other Events

 

On December 13, 2021, the board of directors (the “Board”) of Freight Technologies, Inc. (formerly known as Hudson Capital, Inc.) adopted the 2021 Equity Incentive Plan (the “2021 Plan”).

 

On August 18, 2022, the Board resolved to replace the 2021 Plan and adopt the Freight Technologies, Inc. 2022 Equity Incentive Plan (the “2022 Plan”) in its stead. It further resolved that the Chief Executive Officer, in consultation with the Compensation Committee, may, from time to time, be authorized to issue such number of ordinary shares or securities convertible into ordinary shares as not to exceed 10,000,000 ordinary shares to such persons and on such terms and conditions as he may determine in his discretion.
