Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On May 20, 2019, GTY Technology Holdings Inc. (“GTY” or the “Company”) appointed Harry L. You to be Vice Chairman of the Company’s board of directors. In connection with his appointment, Mr. You resigned from his position as President of the Company. Mr. You will continue to serve as the Company’s Chief Financial Officer and Treasurer.

(c) On May 20, 2019, Stephen Rohleder was appointed as President of GTY. Mr. Rohleder will continue to serve in his capacity as Chief Executive Officer and Chairman of the Company’s board of directors. Mr. Rohleder’s biographical information is set forth in the Company’s Annual Report on Form 10-K for the year ended December 31, 2018 in “Item 10. Directors, Executive Officers and Corporate Governance” and is incorporated by reference herein.
