Varex Imaging Corporation (the “Registrant”) is unable to file its Annual Report on Form 10-K for the fiscal year ended September 27, 2019 (the “Form 10-K”) within the prescribed period without unreasonable effort or expense.  The Registrant needs additional time to complete certain reviews and analyses necessary for the assessment of the Registrant’s internal control over financial reporting, including the remediation of certain of the previously reported material weaknesses, to complete its financial reporting processes, and for its independent registered public accounting firm to complete its audit.  The Registrant is working to finalize its results and will file the Form 10-K as soon as practicable.

On November 12, 2019, the Registrant announced its unaudited financial results for the quarter and fiscal year ended September 27, 2019 in a press release entitled “Varex Announces Financial Results for Fourth Quarter and Fiscal Year 2019.” The press release was furnished to the SEC in a Current Report on Form 8-K on November 12, 2019.  Detail regarding significant changes in the Registrant’s results of operations for the year ended September 27, 2019 as compared to the year ended September 28, 2018 are in the Form 8-K. The Registrant does not currently anticipate material changes to its previously released unaudited fiscal year 2019 financial results.
