1.)	The jurisdiction where the Corporation first formed is Delaware.

2.)	The jurisdiction of the Corporation immediately prior to filing this Certificate of Conversion is Delaware.

3.)	The date the Corporation first formed is June 19, 1998, under its original name “Bowne & Co., Inc.”

4.)	The name of the Corporation immediately prior to filing this Certificate of Conversion is “RR Donnelley Financial, Inc.”

5.)	The name of the Limited Liability Company as set forth in its certificate of formation is “Donnelley Financial, LLC”.

This Certificate of Conversion shall become effective upon its filing with the Secretary of State of the State of Delaware.
