Explanatory Note:

AdvancePierre Foods Holdings, Inc. (the “Company”) hereby amends its Current Report on Form 8-K, dated November 28, 2016 and filed on November 28, 2016, for the purpose of correcting the date of Margaret M. Cannella’s passing.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory

On November 28, 2016, AdvancePierre Foods Holdings, Inc. (the “Company”) announced that Margaret M. Cannella, a director of the Company, passed away on November 24, 2016. Gary L. Perlin, a member of the Audit Committee of the Company’s Board of Directors, will serve as interim Chair of the Audit Committee in addition to the other positions he currently holds.

On November 29, 2016, the Company issued a press release regarding the passing of Margaret M. Cannella. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
