Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 11, 2018, the Board of Directors (the “Board”) of US Foods Holding Corp. (the “Company”) elected Cheryl A. Bachelder to the Board, effective October 1, 2018. Ms. Bachelder will serve as a Class II director, with a term expiring at the Company’s 2021 annual meeting of stockholders, and a member of the Nominating and Corporate Governance Committee of the Board.

As a non-employee director, Ms. Bachelder will receive an annual cash retainer of $100,000, paid quarterly in arrears, and an annual restricted stock unit grant of $100,000, vesting into shares of the Company’s common stock ratably on an annual basis over a three-year period.
