PART III — NARRATIVE

The Company has experienced delays in gathering and compiling the information necessary to draft a complete and accurate Form 10-Q. As a result of the delays, the Company is not able to file its Form 10-Q by the prescribed filing date without unreasonable effort and expense. The Company currently anticipates that it will be able to file the Form 10-Q on or before the extended deadline of November 21, 2016.

The registrant has a loss of from operations during the third quarter of 2016 of approximately $33,000 as compared to a profit of approximately $3,000 in the corresponding quarter of 2015 primarily due to additional expenses arising from being a public company and lower revenues as we transition to our new business model.
