time period.  

       The Form 10-K for the period ended December 31, 1996 cannot be filed 
       within the prescribed time period because additional time is required 
       for professional review of the document for completeness and 
       compliance with Securities and Exchange Commission Rules and 
       Regulations.  It is anticipated that filing will be completed prior to 
       the fifteenth calendar day following the prescribed due date.

       YES. The Company's revenues decreased 35% in 1996 compared to 1995.  
The Company's net loss is approximately 10% less than the loss reported for 
the comparable period of the prior year.
