Item 1.01. | Entry into a Material Definitive Agreement. |
On July 24, 2023, Kimbell Royalty Partners, LP, a Delaware limited partnership (the “Partnership”), entered into Amendment No. 1 (the “First Amendment”) to the Partnership’s existing Amended and Restated Credit Agreement, dated as of June 13, 2023 (as amended or modified prior to such date, the “Existing Credit Agreement”), with certain subsidiaries of the Partnership, as guarantors, the several lenders party thereto (the “Lenders”) and Citibank, N.A., as administrative agent. The First Amendment amends the Existing Credit Agreement to, among other things, (i) decrease the frequency of and increase the threshold for excess cash determinations and (ii) permit the Partnership to issue certain preferred equity interests. The foregoing description of the First Amendment does not purport to be complete and is qualified in its entirety by reference to the text of the First Amendment, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated into this Item 1.01 by reference.
