Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On August 21, 2024, Mr. Don Kalkofen tendered his resignation as Chief Financial Officer of Alpha Cognition Inc. (the “Company”), effective October 1, 2024. Mr. Kalkofen is resigning to pursue other opportunities. Mr. Kalkofen has agreed to provide part-time services to the Company as a consultant from October 1 through November 30, 2025 to assist the Company in accounting matters and in transitioning to an interim Chief Financial Officer until a more permanent replacement can be appointed.
