Item 7.01 Regulation FD Disclosure.
Waitr Holdings Inc. (the “Company”) previously disclosed that during the third quarter of 2019 its average market share and average gross sales increased in its larger volume markets. The Company wishes to clarify that it was referring to markets where delivery volumes are highest among the combination of the Company and its competitors. However, in the Company’s core markets, where it has more delivery volume compared to its other markets, its market share declined and average gross sales were flat during the third quarter of 2019.
The information in this Item 7.01 is intended to be furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (“Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such filing.
1
Pursuant to the requirements of the Securities Exchange Act of 1934, the registrant has duly caused this report to be signed on its behalf by the undersigned thereunto duly authorized.
