The Registrant is unable to complete and file its annual report on Form 20-F for the fiscal year ended December 31, 2023 within the prescribed time period, without unreasonable effort and expense, because the Registrant is experiencing administrative delays in the preparation of its Form 20-F and the Registrant’s auditor has not completed their review of the Form 20F. It is anticipated that the Form 20-F Annual Report, along with the audited financial statements, will be filed on or before the 15th calendar day following the prescribed due date of the Registrant’s Form 20-F.
