Other Events.

On August 1, 2019, Albertsons Companies, Inc. (the "Company") issued a press release announcing the proposed offering by the Company, Albertson’s LLC, Safeway Inc. ("Safeway") and New Albertsons L.P. of senior notes due 2028 (the "Notes") to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act") and outside the United States in accordance with Regulation S under the Securities Act. On August 1, 2019, the Company issued a separate press release announcing the pricing of its upsized offering of $750 million aggregate principal amount of the Notes. The Company intends to use the net proceeds from the offering, together with the proceeds of a new $1.6 billion term loan tranche and cash on hand, to (i) fund the repayment of approximately $3.2 billion of the Company’s existing term loans (the "Term Loan Repayment") and (ii) pay fees and expenses related to the Term Loan Repayment and the issuance of the Notes. Copies of the press releases are attached as Exhibits 99.1 and 99.2 hereto and are incorporated in this Item 8.01 by reference.
