Item 8.01 Other Events.
On November 21, 2016, investment funds affiliated with Providence Equity Partners LLC (the “Providence Funds”) advised CSRA Inc. (the “Company”) that they had sold substantially all of their holdings of common stock in the Company. According to their public filings, the Providence Funds beneficially owned 15,012,462 shares of the Company’s common stock as of December 31, 2015.
