Item 8.01 Other Events.

On October 28, 2022, H3C Holdings Limited (“H3C Holdings”) and Izar Holding Co. (“Izar”), each a wholly-owned subsidiary of Hewlett Packard Enterprise Company (“HPE”), Unisplendour International Technology Limited (“UNIS”), a subsidiary of Unisplendour Corporation, an information technology services company, Tsinghua Unigroup Limited, Beijing Zhiguangxin Holding Co. Limited, and H3C Technologies Co. Limited (“H3C”), entered into an amendment (the “Amendment”) to the Shareholder Agreement previously entered into between the parties as of May 1, 2016. The Amendment extends to December 31, 2022 the latest date upon which H3C Holdings and Izar may put to UNIS all or part of the H3C shares held by H3C Holdings and Izar, at a price of 15.0 times the last twelve months (measured from April 30, 2022) net income of H3C.
