Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 25, 2020, Thomas A. Peterson informed Hostess Brands, Inc. (the “Company”) of his resignation as Executive Vice President, Strategy and M&A, effective March 6, 2020. The Company does not intend to hire a replacement. Mr. Peterson’s duties and responsibilities will be performed by existing members of management. Mr. Peterson’s departure is not due to a dispute or disagreement with the Company.

The Company has not entered into any compensation arrangements with Mr. Peterson in connection with his resignation.
