Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 7, 2022, William D. (BJ) Jenkins informed Sumo Logic, Inc. that he will resign from the Board of Directors (the “Board”) and the Corporate Governance and Nominating Committee of the Board, effective September 16, 2022, due to increased time commitments with his role as President of Palo Alto Networks, Inc. Mr. Jenkins will continue to serve as a director until such date. In connection with Mr. Jenkins’s resignation, the Board decreased the size of the Board to nine members, effective September 16, 2022.
