Item 2.02. Results of Operations and Financial Condition.
On April 29, 2022, Allegiance Bancshares, Inc., the holding company of Allegiance Bank, issued a press release announcing its financial results for the first quarter 2022. A copy of the press release, as well as a copy of the accompanying earnings presentation, are furnished as Exhibit 99.1 and Exhibit 99.2 hereto, respectively, and incorporated herein by reference.

Item 8.01. Other Events.
Dividend Declaration
On April 28, 2022, the Board of Directors of Allegiance declared a cash dividend of $0.14 per share to be paid on June 15, 2022 to all shareholders of record as of May 31, 2022. The amount and timing of any future dividend payments to shareholders will be subject to the discretion of Allegiance’s Board of Directors.
Share Repurchase Authorization
On April 28, 2022, the Board of Directors of Allegiance approved a stock repurchase authorization, under which Allegiance may repurchase up to one million shares of its outstanding common stock at the discretion of management through April 30, 2023. Repurchases under this program may be made from time to time through open market purchases, privately negotiated transactions or such other manners as will comply with applicable laws and regulations. Allegiance’s previously announced share repurchase program will expire on April 30, 2022.
The timing and actual number of shares repurchased will depend on a variety of factors including price, corporate and regulatory requirements, market conditions and other corporate liquidity requirements and priorities. The repurchase program does not obligate Allegiance to purchase any particular number of shares and there is no guarantee as to the exact number of shares that will be repurchased by Allegiance. Allegiance may suspend, modify or terminate the program at any time and for any reason, without prior notice.
