Acquisition or Disposition of Assets On June 30, 1998, the Registrant originated and funded a $39 million mezzanine loan (the "Mezzanine Loan") to the entity that owns an office complex in Dallas, Texas (the "Property"). The Property contains 15 low-rise buildings totaling 1.7 million square feet of Class A office space and a 200-room Marriott Hotel. The Mezzanine Loan is secured by a second mortgage on the Property. Proceeds from the Mezzanine Loan, in conjunction with the proceeds from a concurrent senior loan originated by an affiliate of Credit Suisse First Boston, were used primarily to refinance the Property. The Mezzanine Loan was funded with a combination of existing cash and funds borrowed under one of the Registrant's credit facilities. The Mezzanine Loan has a term of nine months. The Mezzanine Loan is prepayable at any time, subject to a prepayment penalty if prepaid before November 25, 1998, and thereafter is prepayable at par without penalty for the remainder of the term.
