(d) On January 3, 2017, Wingstop Inc. (the Company) issued a press release announcing that the Companys Board of Directors (the Board), upon recommendation by the Companys Nominating and Corporate Governance Committee, elected Lynn Crump-Caine to serve as an independent Class II director of the Company, effective January 1, 2017. Ms. Crump-Caine has also been appointed to serve on the Companys Compensation Committee, effective January 1, 2017.
Ms. Crump-Caine will be entitled to receive compensation under the Companys Compensation Program for Non-Employee Independent Directors (the Director Compensation Program), including a grant of restricted stock. In addition, Ms. Crump-Caine will also enter into the Companys standard indemnification agreement with directors.
A copy of the Companys press release announcing Ms. Crump-Caines appointment is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.

DALLAS, January 3, 2017 (GLOBE NEWSWIRE) Wingstop Inc. (NASDAQ: WING), the award-winning wing concept with more than 900 locations worldwide, today announced the appointment of seasoned public company director and former McDonalds executive Lynn Crump-Caine to its board of directors. In her thirty-year career with McDonalds Corporation, Ms. Crump-Caine held multiple executive roles, most recently serving as Executive Vice President of Worldwide Operations, where she lead the development of McDonalds real estate growth strategy, global supply chain, standards, and systems for over 31,000 restaurants, worldwide. Since leaving McDonalds, Ms. Crump-Caine gained considerable public company board experience serving as an Independent Director for G&K Services (Nasdaq: GK) and Krispy Kreme Doughnuts, Inc.
Lynn Crump-Caines impressive career in restaurant franchising and her significant boardroom experience make her an ideal addition to the Wingstop Board of Directors.
