1. Videocon d2h Limited (the “Company”) is furnishing under the cover of this Form 6K, the notice of postal ballot, pursuant to the provisions of Section 110 of the Companies Act, 2013, which is attached hereto as Exhibit 99.1.

2. The Board of Directors of the Company on 24.08.2017, have taken note of cessation of office of Mrs. Geetanjali Kirloskar, as a director of the Company, pursuant to the provisions of Section 167(1)(b) of the Companies Act, 2013.
