Item 8.01. Other Events.

On May 30, 2019, XBiotech Inc. (the “Company”) issued a press release announcing that it has commenced a registered underwritten public offering (the “Offering”) of its common shares, subject to market and other conditions, with Piper Jaffray & Co. acting as underwriter.

Net proceeds of the Offering will be used primarily to advance bermekimab Phase 2 clinical studies in Hidradenitis Suppurativa and Atopic Dermatitis and for general corporate and working capital purposes.

The common shares in the Offering will be issued and sold pursuant to an effective shelf registration statement on Form S-3 (File No. 333-213218), which was declared effective by the Securities and Exchange Commission on September 1, 2016.  The preliminary prospectus supplement and accompanying prospectus relating to the offering contain important information relating to the XBiotech common shares. The preliminary prospectus supplement will be filed with the SEC and will be available on the SEC’s website at http://www.sec.gov, or may be obtained, when available, by contacting contacting Piper Jaffray & Co., Attention: Prospectus Department, 800 Nicollet Mall, J12S03, Minneapolis, MN 55402, or by email at prospectus@pjc.com, or by phone at (800) 747-3924.
