The 2023 Annual Meeting of Stockholders (the “Annual Meeting”) of Fintech Scion Limited (the “Company”) will be held on August 22, 2023, at 9:00 a.m. Eastern Time. In order to facilitate shareholder attendance and participation, the Annual Meeting will be held in a virtual meeting format only, via the Internet, with no physical in-person meeting. To approve an amendment to our Articles of Incorporation, as amended (the “Articles of Incorporation” or “Charter”) to effect, at the discretion of our Board of Directors, a reverse stock split of our common stock at a stock split ratio between 1-for-4 and 1-for-25, with the ultimate ratio to be determined by the Board of Directors in its sole discretion (the “Reverse Stock Split”), the implementation and timing of which shall be subject to the discretion of the Board of Directors.
