Filed electronically on behalf of Medicine Man Technologies, Inc. (the “Company”) is an amended Preliminary Information Statement on Schedule 14C (the “Amendment”), submitted in response to the staff’s written comment of March 20, 2017.

Specifically in response to the staff’s comment, the Company obtained the consent from nine shareholders who held their shares as of the Record Date and who, in the aggregate, owned over 50% of the Company’s Common Stock, the Company’s only outstanding securities. Pursuant to Rules 14a-2(b)(2) of the Exchange Act, solicitations where the total number of persons solicited is not more than ten are exempt from Rules 14a-3 to 14a-6, a-8. a-10. a-12 and a-15.
