The “Background of the Transaction” section of the Proxy Statement starting on page 48 of the Proxy Statement is hereby amended by adding the following paragraph at the end of such section:

 

On October 20, 2023, the Board received a letter from a representative of Company A withdrawing the Revised Company A Proposal.
