Item 1.01. Entry into a Material Definitive Agreement.

Underwriting Agreement

On July 13, 2023, Caribou Biosciences, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with BofA Securities, Inc., SVB Securities LLC, and Evercore Group L.L.C., as representatives of the several underwriters named therein (collectively, the “Underwriters”), relating to the issuance and sale (the “Offering”) of 19,230,769 shares of its common stock, par value $0.0001 per share, at a price to the public of $6.50 per share. Pursuant to the Underwriting Agreement, the Underwriters have agreed to purchase the shares of common stock from the Company at a price of $6.11 per share. The Company also granted the Underwriters a 30-day option to purchase up to an additional 2,884,615 shares of common stock from the Company. All of the shares in the Offering are being sold by the Company.

The net proceeds to the Company from the Offering are expected to be approximately $116.9 million, after deducting underwriting discounts and commissions and estimated offering expenses payable by the Company, assuming no exercise by the Underwriters of their option to purchase additional shares of common stock. The closing of the Offering is expected to occur on or about July 18, 2023, subject to satisfaction of customary closing conditions.

The Offering is being made pursuant to the Company’s effective shelf registration statement on Form S-3 (No. 333-266712), filed with the Securities and Exchange Commission (“SEC”) on August 9, 2022, which became effective on August 16, 2022 and the prospectus included therein (the “Registration Statement”). A preliminary prospectus supplement, dated July 13, 2023, was filed with the SEC pursuant to Rule 424(b) under the Securities Act of 1933, as amended (the “Securities Act”) and a final prospectus supplement, dated July 13, 2023, relating to and describing the terms of the Offering was filed with the SEC pursuant to Rule 424(b) under the Securities Act on July 14, 2023.

The Underwriting Agreement contains customary representations, warranties, and covenants by the Company, customary conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act, other obligations of the parties, and termination provisions. The representations, warranties, and covenants contained in the Underwriting Agreement were made only for purposes of such agreement and as of specific dates and were solely for the benefit of the parties to such agreement.

The Underwriting Agreement is filed as Exhibit 1.1 hereto and is incorporated herein by reference. The foregoing descriptions of the terms of the Underwriting Agreement are qualified in their entirety by reference to such exhibits hereto.

A copy of the opinion, including the related consent, of Reed Smith LLP relating to the legality of the issuance and sale of the securities in the Offering is attached as Exhibit 5.1 hereto.

On July 13, 2023, the Company issued a press release to announce a proposed offering of $100 million shares of its common stock, par value $0.0001 per share, pursuant to the Registration Statement (the “Offering Press Release”). On July 13, 2023, the Company also issued a press release to announce that it had priced an upsized $125 million Offering (the “Pricing Press Release”). A copy of the Pricing Press Release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
