Item 5.07Submission of Matters to a Vote of Security Holders

 

The annual meeting of the shareholders of MB Bancorp, Inc. (the “Company”) was held on May 23, 2017. The final results for each of the matters submitted to a vote of shareholders at the annual meeting are as follows:

 

1.The following individuals were elected as directors for terms of three years by the following vote:

The following individual was elected as a director for a term of one year by the following vote:

There were 429,192 broker non-votes on the proposal to elect directors.

 

2.The appointment of TGM Group LLC as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2017 was ratified by the shareholders by the following vote:

There were no broker non-votes on the proposal.

 

3.An advisory vote was taken to approve the compensation of the Company’s named executive officers as disclosed in the proxy statement and the vote was as follows:
