State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach extra Sheets if Needed)

The semi-annual report on Form N-CSR could not be filed within the prescribed time due, in part, to the inability of the filing agent to complete edgarization of Form N-CSR within the same business day.  As a result, the Form N-CSR was filed and accepted minutes after the SEC deadline.  Specifically, information related to the edgarizing of the Form N-CSR took longer than expected to complete.  Additionally, due to the July 4 holiday, certain key individuals were not reachable until July 8 for signature to authorize the filing.  These processes could not be completed prior to the due date of the report without unreasonable effort or expense.
