Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers
On April 23, 2023, Frances Philip notified Vista Outdoor Inc. (the “Company”) that she will not stand for re-election as a director at the Company’s 2023 annual meeting of stockholders (the “2023 Annual Meeting”). Ms. Philip will continue to serve as a member of the Board, and as Chair of the Nominating and Governance Committee and a member of the Management Development and Compensation Committee, until the 2023 Annual Meeting. Ms. Philip’s decision not to stand for re-election was not the result of any disagreement with the Company or its management on any matter relating to the Company’s operations, policies or practices.
