Dear Vista Outdoor:

Across Vista Outdoor, we continue to make progress on running the business while also working through our strategic plan to unlock stockholder value for The Kinetic Group and Revelyst businesses.

Our existing transaction with Czechoslovak Group (“CSG”) to acquire The Kinetic Group remains on track, and we continue to be confident that we’ll receive clearance from the Committee on Foreign Investment in the United States (“CFIUS”) for that transaction.

The strength of our people, brands and business has also attracted the interest of MNC Capital, which is a private-investment firm affiliated with former Vista Outdoor Board Member Mark Gottfredson. MNC Capital recently submitted a revised offer to purchase all of Vista Outdoor – which would include The Kinetic Group and Revelyst businesses – for $37.50 per share of Vista Outdoor common stock.

Our Board of Directors announced earlier today that we are engaging in discussions with MNC regarding this offer.  As noted in the announcement, the Board does not believe the offer from MNC is superior to the transaction with CSG. In particular, MNC’s proposed offer price undervalues the Revelyst business. However, the Board has directed us to engage with MNC to share certain non-public information to see if MNC can increase its offer price.

It’s important to reiterate there can be no assurance the discussions with MNC will result in either an increased offer price or any transaction with MNC.

Given these ongoing discussions, the stockholder vote with respect to the CSG transaction, originally scheduled to be held at 9:00 am (Central Time) on May 16, 2024, will now be adjourned to 9:00 am (Central Time) on June 14, 2024. The record date of April 1, 2024, remains unchanged, Vista Outdoor remains bound by the terms of the merger agreement with CSG and the Board continues to recommend Vista Outdoor stockholders vote in favor of the CSG transaction.



In the interim, it's business as usual. There is interest in our company because of the success of our people, brands and business performance. It’s an exciting period and the ongoing talks are proof points that we have the best teams and brands in the industry.
