(“Moody I”), which is included as Annex C to the Proxy Statement/Prospectus that forms part of the Registration Statement on Form S-4 of Moody National REIT II, Inc. (“Moody II”) relating to the proposed merger of Moody I with and into Moody Merger Sub, LLC a wholly owned subsidiary of Moody II.
