 — Background and Basis of Presentation

NextDecade Corporation engages in development activities related to the liquefaction and sale of liquefied natural gas (“LNG”). We have focused and continue to focus our development activities on the Rio Grande LNG terminal facility at the Port of Brownsville in southern Texas (the “Terminal”) and an associated

137

-mile Rio Bravo pipeline to supply natural gas to the Terminal (the “Pipeline”). We also lease a

994

-acre site near Texas City, Texas for another potential LNG terminal (the “Galveston Bay Terminal”) that expires

December 31, 2020.

Our Consolidated Financial Statements have been prepared in accordance with accounting principles generally accepted in the United States of America (“GAAP”). All intercompany accounts and transactions have been eliminated in consolidation.

Certain reclassifications have been made to conform prior period information to the current presentation.  The reclassifications did

not

have a material effect on our consolidated financial position, results of operations or cash flows.
