Item 1.01    Entry into a Material Definitive Agreement.

On February 11, 2022, California Resources Corporation (the “Company”) amended its Credit Agreement, dated as of October 27, 2020, with Citibank, N.A., as administrative agent, collateral agent, and issuing bank, and the several lenders party thereto. The purpose of the amendment was to, among other things, change the benchmark rate from London Interbank Offered Rate (LIBOR) to the secured overnight financing rate as administered by the Federal Reserve Bank of New York (SOFR).

The above description of the amendment is not complete and is qualified in its entirety by reference to the full text of the amendment, which is filed as Exhibit 10.1 hereto and incorporated by reference herein.
