On May 10, 2022, Euronav NV (the Company) issued a press release relating to the recommendations of Institutional Shareholder Services Inc. LEADING PROXY ADVISORY FIRM ISS SUPPORTS ALL OF EURONAVS SUPERVISORY BOARD CANDIDATES AND RECOMMENDS AGAINST CMBS NON-INDEPENDENT NOMINEES
ANTWERP, Belgium, May 10, 2022 Euronav NV (NYSE: EURN & Euronext: EURN) (Euronav or the Company) is pleased to announce that Institutional Shareholder Services Inc. (ISS), a leading independent proxy advisory firm, has recommended that the shareholders vote FOR all of Euronavs Supervisory Board candidates and AGAINST CMBs non-independent directors at the Companys Annual General Meeting.

In supporting Euronavs Supervisory Board candidates, ISSs report states that the Companys candidates appear to possess the necessary qualifications for board membership.
With respect to CMBs resolutions, ISS notes that a vote AGAINST these shareholder proposals is warranted because the dissident has not made a compelling case that a change in the board composition is needed at this time.
The ISS recommendation is consistent with the Supervisory Boards position that the lack of independence of the candidates proposed by CMB would weaken the Supervisory Boards profile by creating a potential conflict of interest for every single investment and strategy decision presented to the Supervisory Board.
We are pleased with this support from ISS, says Euronavs Supervisory Board in response to the ISS Report. The unambiguous recommendation to vote for all of the Companys director nominees and against the proposed CMB candidates reinforces the unanimous recommendation of the Supervisory Board. ISSs evaluation clearly affirms that Euronavs Supervisory Board provides the right expertise, knowledge, and perspective to properly oversee the Companys strategy in the best interests of all of its stakeholders.
Euronav invites all shareholders to express their support by voting for the Companys candidates for the Supervisory Board and against the candidates proposed by CMB at the AGM on May 19th. Further information on the AGM and information on how to vote is included on the website. Registration, proxies and/or votes by letter must be received by May 13th.
