On December 6, 2019, Watford Holdings Ltd. (the “Company”) entered into a share purchase agreement with April S.A. (together with its consolidated subsidiaries, the “APRIL Group”) for the acquisition of the group's subsidiary, Axeria IARD (“Axeria”), a property and casualty insurance company based in France. Pursuant to the agreement, the Company will acquire 100% of the capital stock of Axeria from the APRIL Group. The completion of the acquisition is subject to regulatory approval and other customary closing conditions, and is expected to close in the spring of 2020.
Axeria is headquartered in Lyon, France, with branch offices in Lille and Bordeaux and is active in the French and EU commercial property and casualty insurance market with annual, in-force gross premiums written of approximately €140 million.
