Atlantica announces pricing of the 4.00% $100 million green exchangeable senior notes due 2025

July 14, 2020 – Atlantica Sustainable Infrastructure Plc (“Atlantica,” NASDAQ: AY) has priced its offering of the $100,000,000 in aggregate principal amount of green exchangeable senior notes due 2025 (the “Notes”). The Notes will be the senior unsecured obligations of Atlantica Sustainable Infrastructure Jersey Limited (the “Issuer”), a wholly owned subsidiary of Atlantica, and fully and unconditionally guaranteed, on a senior, unsecured basis, by Atlantica. The Issuer has granted the initial purchasers a 13-day option to purchase up to an additional $15,000,000 million principal amount of Notes, solely to cover over-allotment.

The Notes will bear interest at a rate of 4.00% per year, payable semiannually in arrears on January 15 and July 15 of each year, beginning on January 15, 2021. The Notes will mature on July 15, 2025, unless earlier repurchased, redeemed pursuant to a tax redemption or exchanged. Prior to the close of business on the business day immediately preceding April 15, 2025, the Notes will be exchangeable at the option of the holders only upon satisfaction of certain conditions and during certain periods. Thereafter, the Notes will be exchangeable at the option of the holders at any time prior to the close of business on the second scheduled trading day immediately preceding the maturity date. Upon exchange, the Notes may be settled in accordance with a cash box procedure into the ordinary shares of Atlantica par value $0.10 per share (the “Ordinary Shares”), cash or a combination thereof, at Atlantica’s election. The initial exchange rate of the Notes is 29.1070 Ordinary Shares per US$1,000 principal amount of Notes (which is equivalent to an initial exchange price of approximately US$34.36 per Ordinary Share and represents an exchange premium of 20% above the closing price of the Ordinary Shares on July 14, 2020, which was $28.63 per Ordinary Share). The exchange rate is subject to adjustment upon the occurrence of certain events.

The Issuer may not redeem the Notes prior to their stated maturity date, unless certain tax-related events occur. If certain events that constitute a “fundamental change” occur, then holders of the Notes may require the Issuer to repurchase their Notes for cash at a repurchase price equal to the principal amount of the Notes to be repurchased, plus accrued and unpaid interest. In addition, upon certain corporate events or upon tax redemption, Atlantica will, under certain circumstances, increase the exchange rate for holders who exchange Notes in connection with the relevant event or tax redemption.

The closing and disbursement of funds is expected to take place on July 17, 2020 subject to customary conditions.

Atlantica intends to use the proceeds to refinance or finance, in whole or in part, the acquisition of new or ongoing assets or projects which meet certain eligibility criteria in accordance with Atlantica’s Green Finance Framework.

The Notes and related guarantee are being offered only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933 (the “Securities Act”). The Notes, related guarantee, and any Ordinary Shares issuable upon exchange of the Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States or to U.S. persons absent registration or an applicable exemption from the registration requirements. This notice is issued pursuant to Rule 135c under the Securities Act, and does not constitute an offer to sell, nor a solicitation for an offer to purchase, the Notes.
