VIEWRAY, INC.

Overview

We design, manufacture and market the ViewRay MRIdian®. The MRIdian is an innovative system that integrates high quality radiation therapy with simultaneous magnetic resonance imaging (“MRI”). There are two generations of the MRIdian: the first generation MRIdian with Cobalt-60 based radiation beams and the second generation MRIdian Linac (“MRL”), with more advanced linear accelerator or ‘linac’ based radiation beams. The MRIdian combines MRI and external-beam radiation therapy to simultaneously image and treat cancer patients, over 6,500 of whom have been treated with the MRIdian to date. MRI is a broadly used imaging tool that has the ability to clearly differentiate between types of soft tissue. In contrast, X-ray or computed tomography (“CT”), the most commonly used imaging technologies in radiation therapy today, are often unable to distinguish soft tissues such as the tumor and critical organs. MRIdian integrates MRI technology, radiation delivery and our proprietary software to clearly See the soft tissues, Shape the dose to accommodate for changes in anatomy and Strike the target precisely using real-time targeting throughout the treatment. The MRIdian system is Sized to fit into standard radiation therapy vaults without having to remove ceiling or walls. These capabilities allow MRIdian to deliver radiation to the tumor accurately, while reducing the radiation amount delivered to nearby healthy tissue, as compared to other radiation therapy treatments currently available. We believe this will lead to improved patient outcomes and reduced treatment-related side effects. As of November 14, 2019, we owned or exclusively licensed 124 patents and had 154 owned or exclusively licensed patent applications pending.

Arrangements with Certain Investors and Potential Strategic Partners

Elekta AB Investment and Collaboration

On December 2, 2019, we announced that we have signed a non-binding memorandum of understanding to enter into a collaboration with Elekta AB (“Elekta”) to advance the knowledge and use of MR-guided radiation therapy (the “Elekta Collaboration”). In connection with this initiative, Elekta has agreed to make an investment in a number of shares of our common stock representing approximately 9.9% of the shares of common stock outstanding after this offering on a fully diluted basis, subject to an aggregate cap of $36 million, at the public offering price (the “Elekta Investment”). Elekta has informed us that it intends to make the Elekta Investment by participating in this offering.

Elekta Investment.    If the Elekta Investment is consummated, Elekta would acquire a number of shares of our common stock representing approximately 9.9% of the shares of common stock outstanding after this offering on a fully diluted basis, subject to an aggregate cap of $36 million, at the public offering price. Elekta has informed us it intends to make the Elekta Investment by participating in this offering. Elekta’s obligation to make the Elekta Investment is subject to certain terms and conditions, including

that this offering (including through the Elekta Investment, the Fosun Investment and the Medtronic Investment, each as defined below) raise at least $75 million of gross proceeds to the Company before underwriting discounts and other offering expenses (the “Strategic Transactions Financing Condition”). There can be no assurance that such conditions will be satisfied or the Elekta Investment will be otherwise consummated.

Elekta Collaboration.    Elekta and the Company have signed a non-binding memorandum of understanding to enter into the Elekta Collaboration, subject to the satisfaction or waiver of certain conditions, pursuant to which Elekta and the Company will collaborate to advance the knowledge and use of MR-guided radiation therapy. Under the Elekta Collaboration, Elekta and the Company expect to facilitate clinical studies exploring the impact of MR-guided therapy in oncology and work jointly to expand the potential role of MR-guided therapy into other areas that could benefit from the technology. Although we intend to pursue our non-binding understanding with Elekta for the Elekta Collaboration, the Elekta Collaboration is subject to the execution of definitive documentation. There can be no assurance that the conditions to the Elekta Collaboration will be satisfied or waived, that Elekta and the Company will reach a definitive agreement for the Elekta Collaboration or that the Elekta Collaboration will be successful.

Fosun Investment

Strong Influence Limited, an affiliate of Fosun International Limited (“Fosun”), our largest existing shareholder, has agreed to purchase shares of our common stock by participating in this offering at the public offering price representing the lower of (x) the number of shares such that it maintains its current beneficial ownership percentage of shares after giving effect to the closing of this offering and (y) a number of shares having an aggregate purchase price of $13.0 million (the “Fosun Investment”). As of November 19, 2019, Fosun International Limited reported on Schedule 13D that it and its affiliates beneficially owned 17.7% of our shares, which includes 13,657,424 shares of our common stock and warrants exercisable for 1,418,116 shares of our common stock. Fosun’s obligation to make the Fosun Investment is subject to certain terms and conditions, and there can be no assurance that such conditions will be satisfied or the Fosun Investment will be otherwise consummated.

Medtronic Investment and Collaboration

Also on December 2, 2019, we announced that we have signed a non-binding memorandum of understanding to enter into a strategic relationship with Medtronic, Inc. (together with its affiliates, “Medtronic”), pursuant to which Medtronic and the Company would enter into a clinical collaboration in an area of mutual interest that includes exploring the clinical benefits of the MRIdian MR-guided radiation therapy system (the “Medtronic Collaboration”). In connection with this initiative, Medtronic has agreed to invest in a minority interest in the Company by purchasing shares of our common stock in this public offering at the public offering price (the “Medtronic Investment”).

Medtronic Investment.    If the Medtronic Investment is consummated, Medtronic would invest in a minority interest in the Company by acquiring shares of our common stock in this offering at the public offering price. Medtronic’s obligation to make the Medtronic Investment is subject to certain terms and conditions, including the Strategic Transactions Financing Condition. There can be no assurance that such conditions will be satisfied or the Medtronic Investment will be otherwise consummated.

Expected Financial Performance

As described in our periodic reports that are incorporated by reference herein, our operating model involves a complex fulfillment process, and because of the relatively small number of systems we expect to install in any period, each installation of a MRIdian may represent a significant percentage of our revenue for a particular period. There is a significant amount of time between the date on which we receive an order that we consider valid (which we record as backlog) and the time that we recognize revenue from that sale in accordance with our accounting principles. This timing is highly variable and is influenced by a number of factors, including delays in shipping, customer site construction, permitting or system installation and customer postponements or cancellations, all of which are difficult to forecast and which may contribute to fluctuations in our reported revenue and results of operations and variation from our expectations.

We do not expect that the rate at which our backlog is converted into recognized revenue to improve over the near term. Further, we believe that the investment community does not fully take into account this significant amount of time between recording a valid order and recognizing the corresponding revenue, or the potential for incremental delays that would extend this amount of time, when estimating our financial performance for 2020.

Corporate History and Information

We were incorporated in Nevada as Mirax Corp. on September 6, 2013, and reincorporated in Delaware as ViewRay, Inc. in July 2015. The SVB Term Loan also contains financial covenants that require us to maintain a minimum cash balance in accounts maintained at Silicon Valley Bank or one of its affiliates or else comply with a liquidity ratio and/or a minimum revenue target. Our ability to comply with these covenants may be affected by events beyond our control, and future breaches of any of these covenants could result in a default under the SBV Term Loan. THE COMPANY

Overview

We design, manufacture and market the ViewRay MRIdian®. The MRIdian combines magnetic resonance imaging, or MRI, and external-beam radiation therapy to simultaneously image and treat cancer patients. MRI is a broadly used imaging tool that has the ability to clearly differentiate between types of soft tissue. In contrast, X-ray or computed tomography, the most commonly used imaging technologies in radiation therapy today, are often unable to distinguish soft tissues such as a tumor and critical organs. MRIdian integrates MRI technology, radiation delivery and our proprietary software to locate, target and track soft-tissue tumors, while radiation is delivered. These capabilities allow MRIdian to deliver radiation to the tumor more accurately, while reducing the amount of radiation delivered to nearby healthy tissue, as compared to other radiation therapy treatments currently available. We believe this will lead to improved patient outcomes and reduced treatment-related side effects. As of December 31, 2018, we owned or exclusively licensed 98 patents and had 142 owned or exclusively licensed patent applications pending.

Common Stock

As of September 30, 2018, there were 95,195,872 shares of common stock outstanding. Anti-Takeover Effects of Delaware Law

We are subject to the provisions of Section 203 of the Delaware General Corporation Law. Under Section 203, we would generally be prohibited from engaging in any business combination with any interested stockholder for a period of three years following the time that this stockholder became an interested stockholder unless:

 

   

prior to this time, the board of directors of the corporation approved either the business combination or the transaction that resulted in the stockholder becoming an interested stockholder;

 

   

upon consummation of the transaction that resulted in the stockholder becoming an interested stockholder, the interested stockholder owned at least 85% of the voting stock of the corporation outstanding at the time the transaction commenced, excluding shares owned by persons who are directors and also officers, and by employee stock plans in which employee participants do not have the right to determine confidentially whether shares held subject to the plan will be tendered in a tender or exchange offer; or

Anti-Takeover Effects of Provisions of our Certificate of Incorporation and our Bylaws

Some provisions of our certificate of incorporation and our bylaws could make the following transactions more difficult: acquisition of us by means of a tender offer; acquisition of us by means of a proxy contest or otherwise; or removal of our incumbent officers and directors. It is possible that these provisions could make it more difficult to accomplish or could deter transactions that stockholders may otherwise consider to be in their best interest or in our best interests, including transactions that might result in a premium over the price of our common stock.

These provisions, summarized below, are expected to discourage coercive takeover practices and inadequate takeover bids. Undesignated Preferred Stock

The ability to authorize undesignated preferred stock makes it possible for our board of directors to issue preferred stock with voting or other rights or preferences that could impede the success of any attempt to change control of the company. These and other provisions may have the effect of deterring hostile takeovers or delaying changes in control or management of the company.

Special Stockholder Meetings

Our certificate of incorporation provides that a special meeting of stockholders may be called only by the secretary of the corporation at the direction of our board of directors, pursuant to a resolution adopted by a majority of the entire board.

Requirements for Advance Notification of Stockholder Nominations and Proposals

Our bylaws establish advance notice procedures with respect to stockholder proposals and the nomination of candidates for election as directors, other than nominations made by or at the direction of the board of directors or a committee of the board of directors.

Elimination of Stockholder Action by Written Consent

Our certificate of incorporation eliminates the right of stockholders to act by written consent without a meeting.

Classified Board; Election and Removal of Directors

Our board of directors is divided into three classes. The directors in each class will serve for a three-year term, one class being elected each year by our stockholders, with staggered three-year terms. Only one class of directors will be elected at each annual meeting of our stockholders, with the other classes continuing for the remainder of their respective three-year terms. Because our stockholders do not have cumulative voting rights, our stockholders holding a majority of the shares of our common stock outstanding will be able to elect all of our directors. In addition, our directors may not be removed without cause, and removal of our directors for cause will require a majority stockholder vote. For more information on the classified board of directors, see the section titled “Management—Board Composition.” This system of electing and removing directors may tend to discourage a third party from making a tender offer or otherwise attempting to obtain control of us, because it generally makes it more difficult for stockholders to replace a majority of the directors.

Choice of Forum

Our certificate of incorporation provides that, unless we consent in writing to the selection of an alternative forum, the Court of Chancery of the State of Delaware will be the exclusive forum for any derivative action or proceeding brought on our behalf; any action asserting a breach of fiduciary duty; any action asserting a claim against us arising pursuant to the Delaware General Corporation Law, our certificate of incorporation or our bylaws; or any action asserting a claim against us that is governed by the internal affairs doctrine.

Amendment of Charter Provisions

The indenture provides that the trustee may withhold notice to the holders of debt securities of any series of any Default or Event of Default (except in payment on any debt securities of that series) with respect to debt securities of that series if the trustee determines in good faith that withholding notice is in the interest of the holders of those debt securities. (Section 7.5)

Modification and Waiver

We and the trustee may modify, amend or supplement the indenture or the debt securities of any series without the consent of any holder of any debt security:

Except for certain specified provisions, the holders of at least a majority in principal amount of the outstanding debt securities of any series may on behalf of the holders of all debt securities of that series waive our compliance with provisions of the indenture. Defeasance of Debt Securities and Certain Covenants in Certain Circumstances

Legal Defeasance.
