AP Gaming Holdco, Inc. (the “Registrant”) is unable to file, without unreasonable effort and expense, its Form 10-Q Quarterly Report (the “Form 10-Q”) for the quarter ended June 30, 2014 because an analysis of the materiality of certain adjustments related to complex accounting issues resulting from a comment letter received from the Securities and Exchange Commission is not yet completed. It is anticipated that the Form 10-Q, along with the interim financial statements, will be filed on or before the 5th calendar day following the prescribed due date of the Registrant’s Form 10-Q.
