Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

 

Effective March 18, 2022, Frank E. Celli resigned as the Chairman of the Board of Directors and as a member of the Board of Directors of Renovare Envirnmental, Inc. (the “Registrant” or the “Company”). Mr. Celli did not hold any committee positions. Mr. Celli did not indicate that his decision to resign was a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Director Nicholaus Rohleder will be assuming the role of interim chairman of the board.

 

Effective March 21, 2022, James D. Chambers resigned as a member of the Board of Directors of the Registrant. Mr. Chambers did not indicate that his decision to resign was a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Chambers was a member of the Audit, Compensation and Governance Committees. Director Walter Littlejohn III will be replacing Mr. Chambers on those committees.
