Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective November 12, 2021, Jason Post will no longer serve as Chief Compliance Officer of NexPoint Capital, Inc. (the “Company”). In connection with Mr. Post’s resignation, there were no disagreements with the Company, known to an executive officer of the Company, on any matter relating to the Company’s operations, policies or practices.

Effective November 12, 2021, the Board appointed Stephanie Vitiello to replace Mr. Post as the Company’s Chief Compliance Officer. Ms. Vitiello, age 38, has served as Chief Compliance Officer and Counsel of Skyview Group since February 2021 and as Secretary to the Highland Fund Complex since April 2021. Prior to her role at Skyview Group, Ms. Vitiello served as Managing Director – Distressed, Assistant General Counsel from March 2020 to February 2021 for Highland Capital Management, L.P. (“HCMLP”), Associate General Counsel for HCMLP from March 2018 to March 2020, and In-House Counsel for HCMLP from October 2014 to March 2018.
