The company underwent a reverse merger during 2014 and has been involved in extensive efforts to finalize various contracts and relationships, commercialize certain technologies and assemble and provide certain audit related documentation. Because of the devotion of management time and resources to those efforts, the registrant is unable to complete and file its Form 10-K for the year ended December 31, 2014 by the prescribed due date.
