Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 13, 2018, Todd A. Patterson, D.O. informed Prime Meridian Holding Company (the “Company”) of his decision to retire from his position on the Company’s Board of Directors, effective at the Company’s Annual Meeting of Shareholders (the “Annual Meeting”) to be held on May 3, 2018. Accordingly, Dr. Patterson has not been nominated to stand for reelection at the Annual Meeting. Following the Annual Meeting, Dr. Patterson will serve as a Director Emeritus of the Company.
