In accordance with General Instruction B.2. of Form 8-K, the following information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act except as shall be expressly set forth by specific reference in such a filing.

On March 24, 2020, in response to the current challenging business environment, Plains All American Pipeline, L.P., working with its JV partner, announced that the Red Oak Pipeline project has been deferred. The partners have suspended actions that would require additional capital spending on the project and will re-evaluate demand for the project in light of recent market developments. A future decision to move forward with the Red Oak project will depend on a number of factors, including: customer volume commitments, project returns and capital allocation considerations.
